By accessing or using Mushroom Foundry's website and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

All orders are subject to acceptance by Mushroom Foundry. We reserve the right to refuse any order for any reason, including product availability, errors in pricing or product information, or suspected fraud.
Prices are quoted in US Dollars unless otherwise specified. Quotes are valid for 30 days unless otherwise stated. Prices may change without notice before order confirmation.
Standard payment terms require 50% deposit upon order confirmation and 50% balance before shipment. Alternative payment arrangements may be available for qualified customers.
Only an email sent and signed by a named Mushroom Foundry representative, or a formal quotation, proforma invoice, or agreement issued in writing and countersigned by both parties, creates a binding offer, acceptance, commitment, or amendment. No other channel does.
Messages exchanged over chat channels, whether sent by us or received from you, are informational and indicative only. This includes our website chat widget, WhatsApp, Facebook Messenger, Instagram direct messages, SMS, and any other messaging platform that is not an email signed by a human representative. Such messages do not constitute an offer, an acceptance, a quotation, a warranty, a representation, a price guarantee, a delivery commitment, or a variation of any agreement between us. They are at all times subject to confirmation in a formal written quotation or countersigned agreement, and are superseded by it.
Chat sessions may be handled, in whole or in part, by automated artificial intelligence systems operating without prior human review. These systems can make mistakes and may state things that are inaccurate, incomplete, or untrue, including in relation to pricing, minimum order quantities, lead times, ingredients, formulation feasibility, certifications, testing, stock, and regulatory or compliance status. Any such statement is unverified and is not a representation, warranty, or undertaking by Mushroom Foundry.
You agree not to rely on chat content for any purchasing, formulation, regulatory, labeling, or other business decision, and to verify anything material in writing with a named human representative before acting on it. Where chat content conflicts with a signed quotation, proforma invoice, or agreement, the signed document prevails.
Chat transcripts across all channels may be stored, reviewed, and used to improve service quality, as described in our Privacy Policy.
You retain ownership of your brand names, logos, and custom formulations developed specifically for you under a signed agreement.
All content on our website, including text, graphics, logos, and software, is the property of Mushroom Foundry and protected by intellectual property laws.
Certifications are specific to a facility, and often to a production line and a product format. They are not held by a company at large. The facility, standard, and certifications that apply to your order are the ones identified in your accepted quote or approved specification, and we will supply the issuing body, certificate number, scope, and expiry date for each on request. Some product formats are produced at partner facilities under the same quality requirements and document obligations. No certification, registration, or standard mentioned anywhere on this website should be read as applying to every facility, format, or order.
The test panel, the laboratory used, and the documents you receive are those set out in your accepted quote or approved specification. Where a Certificate of Analysis is included, it is issued for the batch supplied. Additional testing, independent third-party laboratory testing, stability studies, and market-specific documentation are available and are quoted separately where they are not already part of your order.
We warrant that products will be manufactured according to agreed specifications and will meet stated quality standards at time of shipment.
Shipping dates are estimates and not guarantees. Risk of loss transfers to you upon delivery to the carrier. We are not responsible for delays caused by carriers, customs, or circumstances beyond our control.
Due to the custom nature of our products, returns are generally not accepted. If products are defective or do not meet specifications, please contact us within 14 days of receipt. Refunds or replacements will be provided for verified quality issues.
To the maximum extent permitted by law, Mushroom Foundry shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues.
You agree to indemnify and hold harmless Mushroom Foundry from any claims, damages, or expenses arising from your use of our services, your products, or your violation of these terms.
Both parties agree to maintain the confidentiality of proprietary information shared during the course of business. This includes formulations, pricing, and business strategies.
Either party may terminate the business relationship with written notice. Outstanding orders and payment obligations survive termination.
These terms are governed by the laws of Hong Kong, without regard to conflict of law principles.
Any disputes shall first be attempted to be resolved through good faith negotiation. If unsuccessful, disputes shall be resolved through binding arbitration in accordance with AAA rules.
We reserve the right to modify these terms at any time. Changes will be effective upon posting to our website. Continued use of our services constitutes acceptance of modified terms.
